Indemnification

You agree to indemnify, defend, and hold harmless SecureNet Japan, its officers, directors, employees, agents, and successors from and against all claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to:

Your violation of these Terms or applicable laws

Billing Responsibility

You are responsible for providing accurate billing information and authorising payment. You agree to promptly update payment information if it changes. Failed payment attempts may result in suspension or termination of your account.

Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.

If you are a consumer in the European Union or other jurisdictions with mandatory consumer protections, your consumer rights are not waived by these Terms.

Dispute Resolution

In the event of a dispute, you and SecureNet Japan agree to attempt to resolve it through informal negotiation before pursuing litigation or formal proceedings. If negotiation is unsuccessful, disputes may be resolved through arbitration or, where permitted by law, litigation.

Severability & Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

The failure of SecureNet Japan to enforce any right or provision does not constitute a waiver of that right or provision, nor does it waive any other right or provision of these Terms.

Entire Agreement

These Terms of Service, together with our Privacy Policy, Cookie Policy, and any specific service agreements, constitute the entire agreement between you and SecureNet Japan regarding your use of the Services. These Terms supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.
